Terms of Service

1. About these terms

These Terms of Service ("Terms") are a contract between you (or the entity you represent) and The MintGrid, Inc. ("MintGrid", "we", "our") governing your use of the MintGrid platform and any related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Who can use the Service

The Service is intended for use by land-surveying firms and the staff they authorize. You must be at least 18 years old and authorized to bind your firm. You are responsible for the activity of every user account associated with your firm.

3. Your account

• You must provide accurate registration information and keep it current.
• You must enable multi-factor authentication (email-OTP) when prompted; we may require it for some account types.
• Keep your credentials confidential. Notify us immediately of any unauthorized access at info@themintgrid.com.
• You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree NOT to:

• Upload content you do not have the right to upload, or that is unlawful.
• Attempt to access another customer's data ("cross-tenant access").
• Attempt to circumvent, probe, or stress-test our security controls without written authorization. To report a suspected vulnerability instead, email info@themintgrid.com (subject prefix [security]) — we acknowledge within 48 hours and do not pursue legal action against good-faith, private reporting.
• Use the Service for high-risk applications (e.g., life-safety systems) that require certifications we do not hold.
• Resell or sublicense the Service without our written agreement.
• Reverse engineer the Service, except to the extent expressly permitted by law.

5. Your data

You retain ownership of all content you upload to the Service ("Customer Data"). You grant MintGrid a worldwide, non-exclusive, royalty-free license to host, process, and display Customer Data solely as needed to provide the Service to you, to maintain backups and continuity, and to fulfill our legal obligations.

Our handling of personal data is described in our Privacy Notice. Where you act as a data controller and MintGrid is your processor, our standard Data Processing Addendum (available on request) applies.

6. AI features

The Service includes AI-powered features (e.g., research automation). When you use them, the relevant inputs may be transmitted to a third-party AI provider listed in our sub-processor inventory. We require our AI providers not to use Customer Data to train their models. AI-generated outputs may contain errors and should be reviewed by a qualified professional before being relied upon for professional or legal purposes.

7. Fees and billing

If your account is on a paid plan, you agree to pay the listed fees. Fees are non-refundable except where required by law. We may change pricing for future billing periods with at least 30 days' notice.

8. Suspension and termination

We may suspend or terminate your access if you breach these Terms, if your use creates a security or legal risk, if required by law, or if you fail to pay fees when due. You may terminate at any time by closing your account. Upon termination:

• You may export your Customer Data within 30 days.
• After 30 days, we will delete Customer Data per our retention schedule, except where retention is required by law or professional record-keeping rules.

9. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own confidential information, but no less than reasonable care.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINTGRID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINTGRID'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO MINTGRID IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER. MINTGRID WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES.

12. Indemnification

You agree to indemnify and hold MintGrid harmless against claims arising from your Customer Data, your breach of these Terms, or your violation of law.

13. Governing law and disputes

These Terms are governed by the laws of the State of [TBD by counsel], without regard to conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in [TBD by counsel], and both parties consent to personal jurisdiction there.

14. Changes to these Terms

We may modify these Terms. Material changes will be communicated by email to account admins at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
